A sole proprietor is an individual doing business with the aim of achieving profit and he/she is registered in accordance with the law.
A sole proprietor may perform all activities stipulated by the law for which he/she meets the requirements, including traditional and art crafts and handicraft.
The minister of economy determines activities that are considered art and traditional crafts, or handicraft, as well as the manner of their certification and the keeping of special records of the certificates issued by the Ministry of Economy.
A natural person performing the activity of free profession, which is regulated by a special regulation, is considered a sole proprietor in line with the Law on companies.
As part of the digitization project, it is possible to submit a registration application for the establishment, change of data and deletion of a sole proprietor from the Register of Business Entities in paper or electronic form at the Serbian Business Registers Agency.
A company is a legal entity which operates in order to generate profit.
A company acquires the status of legal entity when it gets registered in the Serbian Business Registers Agency, in accordance with the law.
Every company has its core activity which is registered in accordance with the law, but it can also perform all other activities that are not prohibited by law, regardless of whether they are specified in the articles of association or the statute.
A company may be established for a fixed or indefinite period of time.
As of May 17, 2023, in continuation of the project of digitization of the registration procedure at the Serbian Business Registers Agency, mandatory electronic registration of the establishment of a company was introduced, for the following legal structures: limited liability company (LLC), joint-stock company (JSC), limited partnership (LP) and general partnership (GP).
Registers maintained by the Serbian Business Registers Agency
